Approved Jan 2010 Purpose The purpose of the committee is to provide advice and recommendations to the Rice Management Company (RMC) regarding the possible environmental and social impacts of upcoming proxy votes for domestic public equity investments in the Rice endowment portfolio held in separately managed accounts (not commingled funds). Mission Statement The committee's mission is to make recommendations to the RMC and its president that reflect Rice’s commitment to its community through thoughtful consideration of corporate actions. The committee understands that the goals of responsible endowment management are primarily to provide financial returns to help the university continue to advance and support its operations. The committee will examine those shareholder proposals relating to environmental and social issues and will make vote recommendations based on guiding principles (approved by the university president) that reflect the university community’s values. The committee will focus exclusively on proxy issues with socially or environmentally relevant components.

"The committee will include three faculty members, two graduate students, three undergraduates, two university administrators (from the offices of the dean of undergraduates and dean of graduate and postdoctoral studies) and one additional administrator to be appointed by the president of Rice University. A representative from the RMC will attend as an advisor to the committee. The Rice president shall annually appoint the chair of the committee. Committee participants will be nominated by established representative bodies through the president’s office’s traditional channels for committee appointment: the Faculty Senate for faculty members, the Graduate Student Association (GSA) for graduate students, and the Student Association (SA) for undergraduates. The SA and GSA shall forward six and four candidates respectively to be considered for appointment. The president of Rice University or his/her designee will make the final selections."
